Responsibilities:
- Ensure the smooth running of the Board’s activities
- Organize Board and Committee meetings and ensure the meeting notice, agenda, papers and minutes are prepared and circulated timely
- Coordinate and facilitate the formation of New Board of Directors and ensure the procedures and corresponding regulatory requirements are complied with
- Facilitate internal audit works with internal units and outsourced audit company timely
- Assist in monitoring the performance and quality of outsourced audit company
- Assist in reviewing corporate governance issues and implementing corresponding guidelines and policies
- Perform ad hoc duties as assigned
Requirements:
- Have a recognized degree with at least five years of relevant experience, preferably major in Corporate Administration, Company Secretary or related discipline
- Exposure in NGO sector is an advantage
- Working experience relating to internal audit/corporate governance is an advantage
- Mature, self-disciplined and with high level of personal integrity and confidentiality to handle boardroom issues and communication
- Good written and spoken English and Chinese
- Proficient in MS Office including Word, Excel, PowerPoint and Chinese word processing
- Candidate with less experience will be considered for Board and Committee Affairs Officer
- Immediate availability would be a definite advantage
